On this website (the "Portal") companies seeking growth equity can post information about their business. Whether you are a prospective investor, company seeking capital, casual visitor or registered user of the Portal, your use of the Portal is governed by the Olive Tree Holdings Terms of Use, as well as this Privacy Policy and other operating rules, minimum qualifications and cautions posted throughout the Portal or presented to you individually during the course of your use of the Portal (collectively, the "Agreement").

Children Prohibited from Using Portal

Olive Tree Holdings does not seek to collect any information from children under the age of 13 and requests that such individuals do not use this site. Olive Tree Holdings and its partners will retain your information for as long as your account is active, as needed to provide you services and longer as required by applicable law. If you wish to cancel your account or request that we no longer use your information to provide you services contact us at the information provided at the end of this Privacy Policy or elsewhere on the Portal. We will retain and use your information as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.


Confidentiality and Non-Solicitation

By use of the Portal, you agree not to use, and to use best efforts to ensure all of your or the Company’s affiliates and its and their respective directors, officers, employees, managers, advisors (including counsel and accountants), financing sources and all other representatives (“Representatives”) not use (which obligation shall include informing such Representatives of the confidential nature of such information), any Confidential Information (defined below) for any purpose except to evaluate and engage in discussions concerning a potential business relationship between you, the Company and Olive Tree Holdings. You agree not to disclose any Confidential Information to third parties or to employees, except to those Representatives who are required to have the information in order to evaluate or engage in discussions concerning the contemplated business relationship. Notwithstanding the foregoing, if you, the Company or its Representatives are required by any applicable judicial, regulatory, or governmental authority to disclose any Confidential Information, you shall (to the extent legally permissible) provide Olive Tree Holdings with prompt written notice of such request or requirement and reasonable assistance in opposing such disclosure or seeking a protective order or other limitations on disclosure, so that Olive Tree Holdings may seek a protective order or other appropriate remedy and/or waive compliance with the terms of this Privacy Policy. Subject to the foregoing, your failure or inability to obtain a protective order or other remedy as contemplated herein, or failure to provide a waiver, shall not prohibit or prevent you, the Company or its Representatives from complying with the requested or required disclosure of such Confidential Information (or any portion thereof) after the required notice and assistance as required above, provided that any disclosure shall be limited to only such information as is required to respond to such request for disclosure.  

You agree that you shall take all reasonable measures to protect the secrecy of and avoid disclosure and unauthorized use of the Confidential Information. Without limiting the foregoing, you shall take at least those measures that you or the Company takes to protect its own most highly confidential information and shall have its Representatives, who have access to Confidential Information who, prior to such disclosure, are subject to a non-use and non-disclosure obligations no less restrictive than the provisions hereof and/or have been informed of the confidential nature of such information, prior to any disclosure of Confidential Information to such employees. You shall not make any copies of Confidential Information unless the same are previously approved in writing by Olive Tree Holdings. You shall immediately notify Olive Tree Holdings in the event of any unauthorized use or disclosure of the Confidential Information.

It is expressly agreed that the identities of any individual or entity and any other third parties discussed and made available by Olive Tree Holdings in respect of any Target Transaction (defined below) shall also remain confidential and the you, the Company and any Representatives thereof shall not, without the prior written consent of the Olive Tree Holdings, directly or indirectly (a) initiate, solicit, negotiate, contract or enter into any business transactions, investments, agreements or undertakings with any such third party identified or introduced by the Olive Tree Holdings or (b) seek to by-pass, compete, avoid or circumvent the Olive Tree Holdings from any business opportunity, in case of (a) and (b) that relates to a Target Transaction, or by otherwise exploiting or deriving any benefit from the Confidential Information. A “Target Transaction” means a potential business transaction, investment, agreement or undertaking of an asset specifically identified by Olive Tree Holdings.

“Confidential Information” means any information disclosed to you, the Company or any of its Representatives by Olive Tree Holdings, either directly or indirectly in writing, orally, via the Portal, or by inspection of tangible objects, including without limitation documents, business plans, information concerning proposed products and services, processes, data, research, models, financial analysis, and marketing plans. Confidential Information may also include information disclosed to Olive Tree Holdings by third parties. Confidential Information shall not, however, include any information which you can establish (i) was publicly known and made generally available in the public domain prior to the time of disclosure; (ii) becomes publicly known and made generally available after disclosure through no action or inaction of you or the Company in breach of this Privacy Policy; or (iii) is in the possession of you or the Company, without confidentiality restrictions, at the time of disclosure.
